These Terms & Conditions (“Terms”) govern your access to and use of the SimplySpeak website and AI phone answering service (the “Service”) provided by SimplySpeak AI (“SimplySpeak”, “we”, “us”, or “our”). By creating an account, booking a demo, or using the Service, you agree to these Terms.
1. The Service
SimplySpeak provides a multilingual AI voice assistant that answers inbound phone calls on behalf of your business, provides information to callers, and can capture bookings, messages, and enquiries. Features, supported channels, and languages may evolve over time. Some capabilities may be described as “coming soon” and are not guaranteed to be available at any particular time.
2. Eligibility and account
You must be at least 18 years old and able to enter into a binding contract to use the Service, and you must use it for business purposes. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.
3. Your responsibilities and acceptable use
You agree to use the Service lawfully and, in particular, that you will:
- Inform your callers that calls are handled by an AI assistant and may be recorded and transcribed, and obtain any consent required by law in your jurisdiction.
- Act as the data controller for the personal data of your callers and provide callers with a compliant privacy notice.
- Not use the Service for unlawful, deceptive, harassing, or harmful purposes, or to provide regulated advice (e.g. medical, legal, or financial advice) that you are not authorised to give.
- Not attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service, or use it to send spam or unlawful communications.
- Comply with all applicable telecommunications, consumer protection, and data protection laws.
You are responsible for the content of the information, scripts, and knowledge base you configure the assistant to use.
4. AI limitations and no professional advice
The Service uses automated speech recognition and AI language models. While we work to make it accurate and reliable, AI systems can misunderstand, produce incorrect information, or make mistakes. The Service is a business communication tool and does not provide professional advice. You are responsible for reviewing bookings and enquiries and for any decisions or actions taken based on the Service’s output.
5. Data ownership and processing
Your calls and your data stay yours. As between you and SimplySpeak, you retain all rights to your business data and your call data. SimplySpeak processes call data as a data processor on your behalf and only on your instructions, as set out in our Privacy Policy and Data Processing Agreement (available on request). You may export or request deletion of your data in accordance with those documents.
6. Fees and billing
Fees, billing cycles, and any usage limits are as set out in your order or plan. Unless stated otherwise, fees are exclusive of applicable taxes (e.g. VAT). Late or failed payments may result in suspension of the Service. Except where required by law, fees are non-refundable.
7. Availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our reasonable control, including issues with third-party telephony or infrastructure providers. Any service level commitments, if offered, will be set out in a separate agreement.
8. Intellectual property
The Service, including its software, models, design, and content (excluding your data and content), is owned by SimplySpeak or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, or create derivative works of the Service except as permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, SimplySpeak shall not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, bookings, or goodwill. Our total aggregate liability arising out of or relating to the Service shall not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
10. Term and termination
These Terms apply for as long as you use the Service. Either party may terminate in accordance with the applicable plan or order. We may suspend or terminate access if you materially breach these Terms. On termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy and DPA.
11. Changes to the Service and Terms
We may modify the Service and these Terms from time to time. Material changes to these Terms will be posted on this page with an updated “Last updated” date and, where appropriate, communicated to you. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of Portugal, and the courts of Portugal shall have exclusive jurisdiction, without prejudice to any mandatory consumer protection rights you may have.
